Terms and Conditions of Sale -- All Customers.

This Agreement contains the terms and conditions that apply to purchases by all customers from GreatPuzzleShop.com. The entity named on the invoice (GreatPuzzleShop.com) that will be provided to you ("Customer") on orders for any and all products sold by "Great Puzzle Shop" in the United States. By accepting delivery of the products described on that invoice, Customer agrees to be bound by and accepts these terms and conditions. If for any reason you are not satisfied with your products, you may return the products under the terms and conditions of the GreatPuzzleShop.com "Total Satisfaction Return Policy", which is summarized below.

THESE TERMS AND CONDITIONS APPLY (I) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE PURCHASE AGREEMENT WITH GreatPuzzleShop.com, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (II) UNLESS OTHER STANDARD TERMS APPLY TO THE TRANSACTION.

These terms and conditions are subject to change without prior written notice at any time, at GreatPuzzleShop.com's sole discretion.

1. Other Documents. Other than as specifically provided in any separate formal purchase agreement between Customer and GreatPuzzleShop.com, these terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and GreatPuzzleShop.com.
3. Governing Law. THIS AGREEMENT AND ANY SALES THEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF ARIZONA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES.
5. Payment Terms; Orders; Quotes; Interest. Terms of payment are within GreatPuzzleShop.com's sole discretion, and unless otherwise agreed to by GreatPuzzleShop.com, payment must be received by GreatPuzzleShop.com prior to GreatPuzzleShop.com's acceptance of an order. Payment for the products and services and support may be made by credit card, or some other prearranged payment method unless GreatPuzzleShop.com has agreed to credit terms. Invoices are due and payable within the time period noted on the reverse side of this invoice, measured from the date of the invoice. Orders are not binding upon GreatPuzzleShop.com until accepted by GreatPuzzleShop.com. Any quotations given by GreatPuzzleShop.com will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.
7. Shipping Charges; Taxes. Separate charges for shipping and handling will be shown on the invoice(s) and listed in our web site. Unless Customer provides GreatPuzzleShop.com with a valid and correct tax exemption certificate applicable to the product ship-to location prior to GreatPuzzleShop.com's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, except for GreatPuzzleShop.com's franchise taxes and taxes on GreatPuzzleShop.com's net income. If applicable, a separate charge for taxes will be shown on the invoice.
9. Title; Risk of Loss. Title to products passes from GreatPuzzleShop.com to Customer on shipment from GreatPuzzleShop.com's facility. Loss or damage that occurs during shipping by a carrier selected by GreatPuzzleShop.com is GreatPuzzleShop.com's responsibility. Loss or damage that occurs during shipping by a carrier selected by Customer is Customer's responsibility.

Returns and Exchanges
We want you to love the puzzles or items you've received. If you would like to exchange or return it, we are happy to replace it with another selection or refund the credit card used for the purchase. Just repack the item in its original packaging (if possible) with the packing slip and follow these instructions:

• We will process a refund within 24 hours of receipt of returned products. Credit card purchases are refunded by crediting the full amount of the purchased product back to your credit card.

• For your security, please return your item(s) with an insured courier (e.g., FedEx, UPS, USPS Parcel Post) and retain your receipt. GreatPuzzleShop.com is not responsible for items damaged or lost in transit. At GreatPuzzleShop.com, we stand behind our service, our products and our customers. That is why we have a 100% satisfaction guarantee behind every purchase. If, for any reason, you are not completely satisfied with your purchase, we'll exchange it or refund the purchase.
• All returns must be sent back to the address above within 30 days of the order date.
• We do NOT accept returns for items that have been partially lost or damaged by customers.

• Products. GreatPuzzleShop.com continually upgrades and revises its products and service offerings to provide GreatPuzzleShop.com customers with new products and service offerings. GreatPuzzleShop.com may revise and discontinue standardized products at any time without prior notice to customers.
• Limitation of Liability. GreatPuzzleShop.com DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST. GreatPuzzleShop.com WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES BUNDLED WITH THE PRODUCTS, GreatPuzzleShop.com IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PURCHASE OF PRODUCTS OR SERVICES UNDER THIS AGREEMENT.
• Binding Arbitration. ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PREEXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, COMMON LAW, INTENTIONAL TORT AND EQUITABLE CLAIMS) AGAINST GreatPuzzleShop.com, its agents, employees, successors, assigns or affiliates (collectively for purposes of this paragraph, "GreatPuzzleShop.com") arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), GreatPuzzleShop.com's advertising, or any related purchase SHALL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION ADMINISTERED BY THE NATIONAL ARBITRATION FORUM (NAF) under its Code of Procedure then in effect (available via the Internet at http://www.arb-forum.com , or via telephone at 1-800-474-2371). The arbitration will be limited solely to the dispute or controversy between Customer and GreatPuzzleShop.com. Any award of the arbitrator(s) shall be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction. Information may be obtained and claims may be filed with the NAF at P.O. Box 50191, Minneapolis, MN 55405.
• Applicable Law; Not For Resale or Export. Customer agrees to comply with all applicable laws and regulations of the various states and of the United States. Customer agrees and represents that it is buying for its own internal use only, and not for resale or export unless customer is an authorized reseller of GreatPuzzleShop.com.
• GreatPuzzleShop.com has separate terms and conditions governing re-sales and transactions outside the United States.
• Service and Support. GreatPuzzleShop.com will provide general support to Customer in the United States, and responds to all inquiries with 24 hours.
• Headings. The section headings used herein are for convenience of reference only and do not form a part of these terms and conditions, and no construction or inference shall be derived there-from.
